Terms and Conditions

Last updated: October 5, 2026

These Terms & Conditions apply to services provided by OLMA Digital, operated as an Austrian sole proprietorship by Marija Oluic.

They apply to clients worldwide, including clients located in Austria, the European Union, the United States and other countries.

Where mandatory consumer protection laws apply, those provisions take precedence over any conflicting provision of these Terms & Conditions.

1. Services

OLMA Digital provides creative, marketing and digital services, including but not limited to:

    • branding and brand strategy

    • social media strategy and management

    • content creation

    • graphic design

    • website design and development

    • copywriting

    • digital marketing

    • related consulting and creative services

The specific scope of services, deliverables, deadlines and fees will be agreed individually with each client, generally through a proposal, quotation, service agreement, invoice or written communication.

2. Contract formation

A contract is formed when the client accepts an offer, proposal or quotation from OLMA Digital, or otherwise confirms in writing that the services should commence.

The agreed scope of work and applicable fees are determined by the individual agreement between OLMA Digital and the client.

Any changes to the agreed scope may result in additional fees or adjusted deadlines.

3. Client responsibilities

The client agrees to provide all information, materials, approvals, access credentials and other cooperation reasonably required for OLMA Digital to perform the agreed services.

The client is responsible for ensuring that materials supplied to OLMA Digital may legally be used for the agreed purpose and do not infringe third-party rights.

Delays caused by missing information, approvals, access or other client-side cooperation may result in corresponding changes to delivery dates.

4. Fees and payment

Fees and payment terms are agreed individually and may include:

    • payment in advance;

    • monthly advance payment;

    • payment upon completion; or

    • another payment schedule agreed in writing.

Unless otherwise agreed, invoices are due by the payment date stated on the invoice.

If an invoice remains unpaid after the due date, OLMA Digital may suspend services until outstanding amounts have been paid, to the extent permitted by law.

Any legally applicable statutory interest, collection costs or other charges may be claimed where permitted by law.

5. Recurring services

Recurring services are subject to a minimum initial commitment of three months, unless a different arrangement has been agreed in writing.

After the minimum commitment period has expired, recurring services may be cancelled with 30 days’ notice.

Unless otherwise agreed, the notice period does not shorten the minimum three-month commitment.

Specific contractual arrangements agreed with a client may contain different cancellation terms.

6. Revisions and changes

The number and scope of revisions included in a project will depend on the agreed proposal or service package.

Requests that materially change the agreed scope, direction or deliverables may be treated as additional work and charged separately.

OLMA Digital will communicate significant additional work or costs before proceeding where reasonably practicable.

7. Delivery dates

Estimated delivery dates are based on the information, materials, approvals and cooperation available at the time.

OLMA Digital is not responsible for delays caused by the client, third-party platforms, technical problems outside OLMA Digital’s reasonable control, force majeure or other circumstances beyond reasonable control.

8. Intellectual property

Unless otherwise agreed, all original creative work produced by OLMA Digital remains subject to applicable copyright law.

Upon full payment of the agreed fees, the client receives the usage rights specifically agreed for the relevant project or service.

Unless expressly agreed otherwise, payment does not automatically transfer copyright ownership of the underlying work, source files, working files, templates, concepts, processes or other materials.

Third-party assets, fonts, stock materials, software, plugins and other licensed materials remain subject to their respective licence terms.

9. Portfolio use

Unless the client expressly requests otherwise in writing, OLMA Digital may display completed client work, project descriptions, brand names, logos or publicly available project materials in its portfolio, website, social media and other self-promotional materials.

Where appropriate, OLMA Digital may identify the client and describe the nature of the work performed.

Confidential information will not knowingly be disclosed for portfolio purposes.

10. Third-party platforms and services

Some services may depend on third-party platforms, software or services, including social media platforms, website hosting providers, advertising platforms, domain providers, analytics services or other external systems.

OLMA Digital does not control third-party platforms and cannot guarantee their uninterrupted availability, functionality, policies or future changes.

The client remains responsible for maintaining any third-party accounts, subscriptions, licences or fees that are in the client’s name unless otherwise agreed.

11. Results and performance

OLMA Digital provides professional strategy, creative and marketing services but does not guarantee specific business, financial, advertising, sales, audience-growth, search-engine or social-media results unless a specific result is expressly guaranteed in writing.

Performance may be affected by factors outside OLMA Digital’s control, including market conditions, competition, algorithms, advertising platforms, client decisions and third-party services.

12. Confidentiality

Both parties agree to keep confidential information received from the other party confidential and to use it only for purposes connected with the agreed business relationship.

This obligation does not apply to information that:

    • is publicly available;

    • was already lawfully known;

    • is independently developed; or

    • must be disclosed by law or a competent authority.

13. Data protection

Personal data is processed in accordance with applicable data protection legislation and the OLMA Digital Privacy Policy.

The Privacy Policy forms a separate document and is available on the OLMA Digital website.

14. Cancellation and termination

Either party may terminate a project or service relationship where termination is permitted under the applicable agreement or these Terms & Conditions.

For recurring services, the minimum three-month commitment and subsequent 30-day cancellation period described above apply unless otherwise agreed in writing.

OLMA Digital may terminate a relationship with immediate effect where legally permitted, including in cases of serious breach, non-payment or unlawful use of OLMA Digital’s services.

Termination does not affect payment obligations that arose before termination.

15. Consumer right of withdrawal

If the client is a consumer and the contract is concluded at a distance or outside OLMA Digital’s business premises, the consumer may have a statutory 14-day right of withdrawal under the Austrian Fern- und Auswärtsgeschäfte-Gesetz (FAGG).

The withdrawal period generally begins when the contract is concluded.

Where a consumer expressly requests that services begin before the expiry of the withdrawal period, the consumer may be required to pay a proportionate amount for services already provided before withdrawal, subject to the statutory requirements.

Where the service has been fully performed before expiry of the withdrawal period, the statutory right of withdrawal may expire if the applicable legal requirements have been fulfilled, including the consumer’s express request and confirmation regarding the loss of the withdrawal right.

Nothing in these Terms & Conditions limits mandatory consumer rights.

16. Liability

OLMA Digital is liable in accordance with applicable law.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by mandatory law.

In particular, liability for personal injury and liability under applicable consumer protection laws remain unaffected.

For business clients, liability for indirect damages, loss of profit, loss of revenue or consequential damages is excluded to the extent legally permissible, unless mandatory law provides otherwise.

17. Force majeure

OLMA Digital is not responsible for delays or failure to perform caused by circumstances beyond reasonable control, including serious technical failures, widespread internet or platform outages, natural disasters, governmental measures, war, civil unrest, epidemics or other force majeure events.

Where such circumstances occur, the parties will reasonably cooperate to adjust deadlines or arrangements.

18. Electronic communication

The parties may communicate electronically, including by email.

Electronic proposals, approvals, confirmations and other communications may constitute written communication where legally permissible.

19. Applicable law

These Terms & Conditions and contractual relationships with OLMA Digital are governed by Austrian law, excluding its conflict-of-law rules.

For consumers, mandatory protections of the law of the country in which the consumer has their habitual residence remain unaffected where such protections are applicable.

20. Jurisdiction

For business clients, the competent courts in Austria shall have jurisdiction to the extent legally permissible.

For consumers, statutory jurisdiction rules apply. Nothing in these Terms & Conditions restricts a consumer’s mandatory right to bring proceedings before a competent court in their country of residence.

21. Severability

If any provision of these Terms & Conditions is or becomes invalid or unenforceable, the remaining provisions remain unaffected.

The invalid or unenforceable provision shall be replaced or interpreted, to the extent legally permissible, in a manner that most closely reflects the original commercial purpose.

22. Entire agreement

The individual agreement between OLMA Digital and the client, together with any applicable proposal, quotation or written service agreement, forms the contractual basis for the relevant services.

In the event of a conflict, the individually agreed terms take precedence over these general Terms & Conditions to the extent legally permissible.
